Terms and conditions

1. Scope and acceptance

Rouhi is a desktop business management application with electronic invoicing integrated with Argentina’s tax authority (ARCA) and the issuing of documents and quotes in other countries. The software is installed on the customer’s computers and works with locally stored data. By installing or using Rouhi, the customer accepts these terms.

2. Licenses

Using Rouhi requires a valid license per terminal. Licenses are issued per organization, last as long as the purchased plan states and are activated with an activation code. The 30-day trial is free and requires no registration. The license includes use of the software and its updates while it is valid; it does not include personalized support or digital certificate keys, which are purchased separately.

3. Payments and renewal

Plans are paid in advance through the chosen payment method. A license whose payment is pending confirmation cannot be activated until the payment is credited. Cancelling a license stops its renewal and deactivates its terminals.

4. Customer data

The customer’s operational data (documents, customers, products, purchases and collections) is stored on the customer’s computers and belongs exclusively to the customer. Rouhi stores on its servers only the account, organization, license and terminal data needed to provide the service and, for those who subscribe to the newsletter, their email, language and subscription date, and does not access operational data.

5. Backups and key recovery

Rouhi’s database and the backups it creates are encrypted with a key unique to each installation. So that a backup can be restored on another computer, or after the original is lost, Rouhi keeps on its servers a protected version of that key, tied to the customer’s account and license. This means Rouhi has the technical ability to decrypt a customer’s backup. That ability is used solely to restore data at the request of an installation that proves a valid license of the account, every release is recorded in an audit log, and Rouhi does not access the contents of backups for any other reason. By using the service, the customer accepts this mechanism as part of data recovery.

6. The customer’s responsibility for their data

The customer is solely responsible for the custody of their data: for the physical and logical safekeeping of the computers where Rouhi is installed, for creating backups as often as their activity requires, for keeping them in a safe place other than the source computer, for periodically checking that they can be restored, and for safeguarding their credentials and recovery code. Rouhi keeps no copies of the customer’s operational data. The loss, theft or failure of a computer without a current backup means the permanent loss of the data it held, and Rouhi cannot recover it. The key recovery mechanism described in clause 5 restores a backup the customer has made; it does not replace the obligation to make one.

7. Tax status and compliance

Rouhi is a management tool and provides no tax, accounting or legal advice. Rouhi neither verifies nor guarantees the customer’s standing with the tax authority: their registration, their status for each tax, the regime that applies to them, their enabled points of sale, their digital certificates, their electronic invoicing obligations or any other condition of their activity. It is the customer’s sole responsibility, with the advice of their accountant, to verify their status with the tax authority, keep it current and check that every document issued is correct and matches their situation. Rouhi relays requests to and answers from the tax authority as received, including authorizations and rejections, and is not liable for the consequences of the customer’s tax status or for the data the customer enters. In countries where Rouhi does not integrate the tax authority, the customer must check whether their jurisdiction requires electronic invoicing or another issuing system and comply with that requirement by their own means.

8. Availability and changes

Rouhi commits to reasonable diligence in operating the licensing service and the integration with the tax authority. The availability of the tax authority’s services does not depend on Rouhi. Rouhi may update the software and these terms; relevant changes are communicated through the account’s channels. Suggestions and complaints may be sent to support@rouhi.com; Rouhi considers them in order to improve the software, with no obligation to implement them or to resolve them within any set period.

9. Limitation of liability

To the fullest extent permitted by applicable law, Rouhi is not liable for indirect damages, loss of profit, loss of data that was not backed up, or penalties and fines arising from the customer’s tax status or from the information entered into the software. Rouhi’s total liability for any claim is limited to the amount the customer paid for licenses during the twelve months before the event giving rise to it.

10. Communications and newsletter

Rouhi sends account holders the emails needed for the service: email verification, password reset, license and payment notices, invitations and security alerts. In addition, anyone who leaves their email on rouhi.com subscribes to the Rouhi newsletter to receive the launch notice and other news. That email is used only for the newsletter, is not sold or shared with third parties, and is deleted as soon as the person unsubscribes, from the link in every email or by writing to support@rouhi.com. Anyone may request access to, rectification of or deletion of their data by writing to that same address.
